Governance and Compliance

Overview

MMG place sustainability governance and compliance at the heart of how we operate. Strong governance is essential to delivering responsible environmental and social performance, managing risk, and creating long-term value for stakeholders. Our approach integrates ethical leadership, transparent reporting, and rigorous compliance across all levels of the organisation.

Sustainability governance at MMG

MMG’s governance model embeds sustainability into decision-making and operational processes. The Board oversees ESG performance through the Governance, Remuneration, Nomination and Sustainability (GRNS) Committee, supported by executive committees that monitor safety, health, environment, and community outcomes. This structure ensures accountability and alignment with global best practices.

MMG’s Sustainability Framework, endorsed by the Board, provides a structured approach to identifying and managing material sustainability issues. It aligns with the ICMM Mining Principles and integrates with our business planning processes, cascading ESG key performance indicators (KPIs) across all functions.

Global standards and alignment

MMG align governance and compliance practices with internationally recognised standards and initiatives, including:

Global Reporting Initiative (GRI) for ESG disclosures and materiality assessments.

ICMM Mining Principles for ethical and sustainable mining.

The Stock Exchange of Hong Kong ESG Code for corporate governance compliance.

IFRS S1 and S2 and TNFD for climate and nature-related financial disclosures.

Extractive Industries Transparency Initiative (EITI) for revenue transparency.

OECD Due Diligence Guidance for responsible supply chains.

This alignment ensures that our practices meet global expectations for transparency, accountability, and sustainability.

Ethics and compliance

MMG’s Code of Conduct underpins our commitment to ethical business practices. It sets clear expectations for employees, contractors, and suppliers on issues such as:

Anti-corruption and fraud prevention.

Conflict of interest.

Legal and regulatory compliance.

Respect for human rights.

Oversight is provided by the Code of Conduct and People Committee, ensuring consistent application and transparent resolution of breaches.

Whistleblower and anti-corruption measures

We maintain an independent, confidential Whistleblower Service for employees, contractors, suppliers, and external stakeholders. Protections for whistleblowers and clear investigation procedures reinforce accountability.

Anti-corruption measures include mandatory training, annual compliance declarations, and integration of anti-bribery controls into procurement and contracting processes. Performance against ethics indicators is monitored quarterly and disclosed in our sustainability reporting.

Human rights and responsible sourcing

MMG addresses human rights risks through open dialogue with communities, integration of human rights into our governance frameworks, and strict supplier requirements. Our Supplier Code of Conduct incorporates OECD guidance and includes strong provisions on modern slavery, child labour, and collective bargaining rights. Suppliers must conduct due diligence to ensure compliance with these standards.

Transparency and reporting

We believe transparency builds trust and drives sustainable growth. MMG publishes annual sustainability and tax contribution reports, discloses mineral development contracts in line with ICMM commitments, and participates in ESG benchmarking initiatives. Selected ESG data is externally assured to ensure accuracy and credibility.

Continuous improvement

Sustainability governance is an evolving process. MMG continually strengthens its frameworks to meet stakeholder expectations and regulatory requirements. Key enhancements include:

Expanding Board ESG expertise and diversity.

Linking executive remuneration to ESG performance.

Integrating ESG risks into enterprise risk management.

Strengthening cybersecurity and data privacy governance.

Embedding ESG training for employees and directors.

Through these measures, MMG ensures that sustainability governance and compliance are not just obligations—they are core to how we create value responsibly.
