Minmetals Resources Limited (HKSE 1208) “MMR” today announced its proposal to change its registered company name to MMG Limited. The Chinese name of the Company, “五礦資源有限公司”, and Hong Kong Stock Exchange code of 1208 will remain unchanged.
The Company’s mining operations in Australia, Laos and the Democratic Republic of Congo currently operate under the “MMG” name.
MMG (the acronym applied to Minerals and Metals Group) was the operating name given to the assets purchased by China Minmetals Non-Ferrous Metals Company Limited in 2009. This proposal is intended to align the listed company’s English name with the name in common use throughout the operating assets.
Chief Executive Officer and Executive Director Mr Andrew Michelmore said, “We believe that it is the right time to reflect the MMG English name as the listed entity as we reposition this company to create an international upstream base metals business.”
“The MMG name recognises our strong connection to China Minmetals Corporation and also aligns our people and assets to our current operating name and brand mark,” he said.
The proposed change of company name is subject to approval by special resolution and the granting of the certificate of change of name by the Registrar of Companies in Hong Kong.
The Company will hold an Extraordinary General Meeting (EGM) on Monday 27 August 2012 for shareholders to vote on the proposed change of company name.
The Company has received an undertaking from China Minmetals Non-Ferrous Metals Company Limited, which through its subsidiaries holds approximately 71.72% of the issued share capital of the Company, that it will vote in favour of the proposed change of company name and subsequent amendments to the Company’s memorandum and articles of association at the EGM.
Details of the EGM will be published in a circular which will be released on approximately 3 August 2012.
